Recent Corporate Scandals in Malaysia Essay

Air-freight firm Transmile Group Berhad hit the business news headline for the wrong reason in 2007. The share price suffered turbulence when it was revealed that auditors of Deloitte & Touche were unable to substantiate the accounts of year 2006. The fraud was discovered after a special audit conducted by Moores Rowland Risk Management Sdn. Bhd. , stating that the company has been overstating its revenue between the periods of 2005-2007 to reduce the net loss shown in its financial statements and total overstatement being RM 530 million. Transmile had recorded revenues which were actually companies that were set up by its former CEO Gan Boon Aun. Share price plummeted from its RM14. 40 high to just RM0. 37 as of 2nd of September, wiping out RM 1. 2 billion gains of the last two years in its market capitalisation. The company is now classified as a PN-17 status company, given to companies that are under financial distress. The current board of directors has now filed a writ of summons and statement of claim in the Kuala Lumpur High Court against its former CEO. Next to the Transmile fiasco is the government funded regional industrial park called Port Klang Free Zone (PKFZ). Initially, the project was to be modelled after the successful Dubai-based Jebel Ali Free Zone (Jafza) which offered extensive manufacturing and distribution facilities. The scandal began when the project had cost overruns of up to RM3. 5 billion and the land where the PKFZ is built on was bought over from another private company owned by a politician at an exorbitant amount. Jafza was responsible to manage PKFZ pulled out, citing â€Å"strategic purposes† as a reason, but following after, a local daily newspaper soon uncovered that Jafza pulled out due to red tape, political interference and many other reasons. The Malaysian Government then engaged the services of PriceWaterhouseCoopers to conduct an independent audit on PKFZ and its findings led to the arrest of Datin Paduka O. C. Phang, former Port Klang Authority general manager and several other politicians by the Malaysian Anti-Corruption Commission. As seen in two cases above, corporate scandals have managed to delude its way around many watchful eyes, mainly due to existence of agency conflict whereby insufficient actions were taken to ensure transparent reporting. In Transmile’s scandal it is obvious that there is manipulation of related party transactions by former CEO Gan Boon Aun and clearly involved conflict of interest intended to be concealed by falsifying records. Related party transactions refer to the expropriation of the company’s assets by controlling shareholders or insiders resulting in impact on corporate governance and minority shareholders, whereby the company receives less net benefit from a related party transaction than could have been obtained from a transaction with an unrelated similitude. On the other hand, PKFZ similarly involved related party transactions and asset shifting, leading to personal gains and political pressure. Jafza’s initial transactions and then pulling out was a series of actions evidently pertain the existence of motives against the interest of the company. The poor financial management by directors vitally contributed to the leeway for fraud, as management should strongly reinforce company regulations on reporting transparency. Distinctive lack of corporate governance resulted in these occurrence of fraud. Due to the absence of such, there are lack of rules and processes or laws by which the company should have abided as to assure veracious operation, regulation and control of business. Weak corporate governance allowed unmonitored transactions leading to personal gains at the expense of the company’s interest, along with unenforced proper disclosure of conflict of interest. The absence of good corporate governance allows the tolerance of corporate abuses hence possibility of fraud to occur should be effaced by imposition of laws and regulations to enforce corporate governance.

American Participation in NATO

  North Atlantic Alliance Organization was founded in 1949 by 12 countries: Belgium, Canada, Denmark, France, Iceland, Italy, Netherlands, Norway, Portugal, the UK, and the USA. Greece and Turkey joined NATO in 1952, Germany (German Federative Republic) in 1955 and Spain in 1982.The agreement that was signed between the members of NATO in Washington, April, 4 1949 assumed mutual assistance and collective security, primary against the threat of the Soviet Union. It was the first union of after war period in the history, made by the USA and which assumed the union of capitalist countries.The main reason for NATO creation were very aggressive relations between the USA and the USSR, especially after Warsaw Pact, or a pact that united all communistic regimes in Eastern Europe with the head of the USSR.The results of Warsaw pact were the following: besides mutual assistance in the sphere of economics, science and education the countries participants agreed the USSR to place its troops on their territories. Romania, Poland, DDR (eastern Germany), Bulgaria and Czechoslovakia agreed to dislocate Soviet troops on their territories.As the result a Soviet threat was created to the countries of Western Europe who were rather weak and could not have anything similar to individual defense after the WW2. In March 1948 five European countries signed Brussels treaty, which was the basis for NATO foundation a year later.The main principle of NATO is its fifth article, which says that all participants agree that military attack against one of the them is considered to be the attack against all of the countries participants. NATO’s principles were developed in the USA in accordance to the 51st article of UN’s rules that assumed the right to create organizations for collective security. This right also makes the nations to participate in economical, political and social integration and mutual assistance.NATO' as military forces were formed in 1950 as a feedback to th e events in Korea that turned into war in June 1950.Korean war or the aggression of North Korea was considered to be a part communist intervention in the east. The war ended in 1953 on the border of North Korea with South Korea on the 47th parallel the place where it had started 3 years before. The main body that directs NATO’s policy is the NATO’s council, which is situated in Brussels (before 1967 all the meetings were held in Paris). Every country-participant of NATO provides a representative f an embassy level, and the meetings are held at least once a week.NATO played an important role in the solution of different conflicts that took place in the world starting from war in Korea and ending military campaigns in Iraq and Afghanistan. If during the years of the cold war the biggest attention was turned to resistance to the USSR military system based in Eastern Europe, than in the years of after cold war period it’s mostly directed on the preserving peace and stability in the world.Probably the coldest relations between the USA and USSR started during Kennedy’s office as disagreements with Soviets led to the missile crisis in Cuba. That was a turning point in the relations between two countries that resulted into two decades of real â€Å"Cold War†.Scared by the dislocation of military bases in Turkey and Greece Soviet ministry of defense on the head with country’s leader Nikita Khrushchev decided to locate Soviet missiles on the island of Cuba, where new revolutionary government was loyal to communistic ideology and was financed by the Soviets. Analyzing the Narrative Essay It was the winter of 2006, in the month of January, and my junior year of high school. By this time in high school I’d had some quirky teachers and to be honest Mr. DeBruyn didn’t seem so uniquely special but apparently he had his moments. English class began on a day when it seemed like school should have been cancelled due to the blizzardous weather earlier that morning. Mr. DeBruyn had an auspicious look on his face then says, â€Å"We’re doing an in class writing assignment today but it’s not going to be in class†. The whole class paused and waited for his next sentence. He told everyone to go to our lockers and get prepared to go outside. Everyone protested and all he could say is â€Å"you have three minutes, dress warm†, as if we wouldn’t! Back in the classroom we grabbed our notebooks as best we could with our gloves, scarves, hats, and puffy winter coats to hold us back. The assignment was to write about nature, as usual, but this time from a first hand experience. We were to pick a certain aspect of what we say outside and discuss how the snow and winter weather affected it, whether it be a plant, bush, tree, or whatever. Once outside everyone was shivering and freezing trying to slap down notes as fast as possible. Mr. DeBruyn then pulled out a digital camera and took a picture of the spot each student examined. Back inside everyone rushed to finish an essay of their choppy notes. I’d hoped it wasn’t worth much of our grade. A few months went by and he hadn’t mentioned anything about the assignment, nor gave it back to us. It was April now. He returned the assignment and no one scored higher than a ‘B’, which was expected. He then gave us each a copy of the area we studied, from the pictures he had taken, and sent us back outside to re-examine the same spot. We were told to re-write the assignment and now descriptively compare the two images and had the weather conditions made the images vary. Mr. DeBruyn turned out not to be so bad, in fact he was kind of cool. I liked that he had challenged us in unique ways, and apparently so did everyone else. Turns out, his creative teaching style touched the hearts of a lot of students, not just me. As proof, he was voted as the teacher to speak at our graduation. And that is no small honor. The privilege of addressing the graduating class at their commencement exercises is a direct testament to to how much the teachers is loved and appreciated by the class. The teacher chosen, therefore, is the one who has the most positive impact on the entire class. And I most certainly agree that Mr. DeBruyn has been an inspiration, and I will never look at winter the same way again. The story of Mr. DeBruyn is a compelling piece of narrative, very simple in its use of words, but highly poignant and raw with emotions. The use of simple words and straightforward imagery makes the material accessible to everyone. However, while simple and highly accessible, the piece is equally provocative, engaging the reader in philosophical musings, while reading the piece and afterwards. Teachers and students alike will find lessons in the simple story of Mr. DeBruyn and the lessons about life that he imparts to his students. The most striking theme in the essay is the concept of education being practice by the teacher, Mr. DeBruyn. John Dewey, the great educational philosopher, once said that there is no better context for learning than the context of real life. Sadly, most classes offer pure theories without any exposure on how such theories find practical form in the real life. In particular, Dewey’s ideas on using real-life tasks and challenges find great significance in my class with Mr. DeBruyn.   The opportunities he provided the class to experience real life is truly one lesson that everyone in that class will never forget. Teaching is perhaps one of the most meaningful of all professions because every day you are given the chance to make meaningful and lasting contribution to an individual’s life. In fact the No Child Left Behind Act recognizes the singular power of teachers in the learning process; so much so that the bar has been raised for teachers in the hopes of improving the educational system. I believe that a big part of the decline in education is that most teachers have lost pride in their vocation. Teachers must have a sense of dignity of work. Unfortunately, when the work is hard and the money is tight, that is easily forgotten. As such, there is an urgent need for reforms, and the community should take an active role in making teachers feel more valued through active support and acknowledgement. By the single act of capturing winter and seeing the image compared with another season, the class became more aware of their surroundings and became more appreciative of the world around them. In one singular stroke of genius, Mr. DeBruyn was able to rekindle our sense of wonder and discovery, things which are at the very heart of learning, and is essential for every student and teacher to have, regardless of whatever subject is being taught or learned. Of course, of utmost importance is what I have learned from this class. If there is one thing that I will carry from my experience with Mr. DeBruyn, it is that you have to let your students take the lead. As a teacher you have to be very sensitive to the signals that your students are sending you individually and collectively as a class. Learners will always give you signs whether you are doing the right thing or not. You have to be ready for contingencies and be prepared to make on the spot adjustments. Let them tell you how they want to learn, because they know what they need from their teacher. I have learned to look at things from all possible levels and adopt my thinking from those perspectives. If I become a teacher, I should never impose myself on them; instead let them teach me how they want to be taught. This is an important realization that I will always keep in mind should I decide to enter the teaching vocation. Indeed while it is true that students need to feel that someone is in control and responsible for their environment and sets classroom limits but maintains them (Wong, 2001), it is more important for teachers to let the minds of the students soar in wonder and discovery. Of course it deserves to be mentioned that the things I have learned from Mr. DeBruyn goes beyond the classroom; more than teaching a lesson, Mr. DeBruyn taught us about life. Much has been said about the nobility of the teaching profession, and indeed, the high sense of duty and the self-sacrifices required from a teacher on a daily basis is nothing less than heroic. I see this first hand in the story of DeBruyn’s class. From this very simple essay I have realized that educational reforms do not necessarily need to cost anything. Indeed, Mr. DeBruyn has shown that it does not take too much time or money to effect a change inside the classroom. As what Mr. DeBruyn has shown, all that is needed is the passion for teaching and genuine desire to share in the learning experience. It is not difficult, and all that is needed to go back to the basics. In the educational process, all teachers must be reminded that the learning process starts with what the child knows. Prior learning is the framework where new concepts are built upon. As such, every teacher should begin with the previous lesson and connect it to the new material. Let the child see the relationship and build their own concepts. This way the child earns ownership of what he has learned because it was a result of what he already knows. These are the things I have been able to reflect upon, and it has had a profound effect in me as an individual looking her place in the sun. From firsthand experience, I have witnessed the power of the teacher to make meaningful and lasting contribution to the lives of students. Indeed the teacher is the single biggest factor that determines the success or failure of the students to learn what they should. I have realized that it is the teacher who creates the atmosphere that focuses the class on their tasks and keeps them engaged in the lessons. Indeed, every moment is an opportunity to learn, and the teacher must create that opportunity for the students. (Mujis, 2005, 75) Reading Mr. DeBruyn I have realized that Mr. Paul Trout of The Chronicle Review would be very pleased by his story. Mr. Trout, in her article entitled Shame on You, takes a critical look at education and forwards the idea that the more the classrooms are threats to the students morale and well-being. While Mr. Trout’s arguments may be valid, Mr. DeBruyn flies in the face of Mr. Trout’s thesis. There can be redemption and life-changing inspiration within the four halls of the classroom. The negative view of the teachers and the school, while not unfounded, is not always true. Across the country, teachers are making a difference in the lives of students, one kind word and encouragement at a time. According to Paul Freire’s Pedagogy of the Oppressed (1993),   Ã¢â‚¬Å"A careful analysis of the teacher-student relationship at any level, inside or outside the school, reveals its fundamentally narrative character. This relationship involves a narrating Subject (the teacher) and patient listening objects (the students).† This description of Friere depicts a one-way relationship between students and teachers, and as such, the transfer of knowledge occurs when the teacher narrates or uses words to teach. But words, while extremely powerful and effective at initiating change is not the only tool at a teacher’s disposal. Actual experiences go beyond any words to properly describe. Mr. DeBruyn proved this by immersing his class in authentic experiences, which did not need much explaining. It was an exchange of knowledge that took place in the heart. I think that the philosophy that comes closest to Mr. DeBruyn’s teaching style is the one espoused by Ms. Rachel Toor. In her article, It’s Mr. Orwell to You, she promoted a teacher-student relationship that was informal. Not informal in the sense that the students treat teachers without any respect. Rather, students approach the learning system with intimacy. They view a piece of literature as someone written by a real person, and as such, is someone they can very well relate to. By â€Å"humanizing† lessons, the students become less intimidated, are able to relax their mind and be open to more learning. Indeed, education is a complex issue that is fraught with difficulties. But no other profession is more fulfilling. To the individual who has the calling to teach. Pursue it with a heart open to all kinds of possibilities. It will not be easy, not by a long shot. But remember that a meaningful life is always fraught with sacrifices. But at the end of the day, the fulfillment is something that you cannot get anywhere else. Subjectively it could denote any form of unpleasant sensation with varying degrees of intensity. Pain is distinguished based on two basic types identified as acute and chronic. Acute pain results from a disease process whereby there is inflammation or injury to tissues occurring rather suddenly after trauma or surgery and may be accompanied by anxiety or emotional distress. Usually certain medications serve to diminish the intensity of Acute Pain. Chronic Pain however, persists over a longer period than acute pain and is resistant to most medical treatments. Several factors may serve to heighten its perception and frequency thereby causing discomfort to patients in varying degrees. Pain follows a certain train of events before it is detected and proclaimed by a patient. Luckmann and Sorensen traced it to "the nerve receptors, named as nociceptors which differs from the complex receptors of vision and other senses". These nociceptors are simply free nerve endings in almost all types of tissues which react to change and require a high level of stimulation to elicit a response. However once their threshold is exceeded they communicate the presence of the painful stimulus. At times they become so over sensitized that long after the stimulus is removed, pain still persists. Once these nociceptors are stimulated, they discharge an impulse that travels in the form of an electrical activity to the spinal cord and on to the brain. The spinal cord is informed on the activity of the body through nerve fibers carrying somatosensory information. The spinothalamic tract then carries the painful information to the brain via the thalamus by passing through the somatosensory cortex which serves to localize and identify the quality of pain before it is diffused to the many areas of the brain including the reticular formation, medulla, hypothalamus and limbic structures. As a response, the brain sends to the receptors a complex response to the painful stimuli. It dictates the receptors to identify the degree, the character and intensity of the pain; its location and how to behave to reduce or avoid it in the future. "Pain can be inhibited if its pathways are blocked", as presented in the Gate-Control Theory of Melzack and Wall. The "gate" in their report is controlled by a dynamic function of cells that can facilitate or inhibit the transmission of pain signals. The fibers bringing pain information from the tissues are found in layers known as laminae. A certain Laminae II which is different from the rest of the layers and also called the Substantia Gelatinosa(SG) is proposed as the location of the "gate". Howard Stringers Sony Leadership The report is an evaluation of the organization structure implemented by Sir Howard Stringer in October 2005. The transition of Sonys organization structure from Transnational structural to multidivisional structure has been analyzed in detail. Goold and Campbells five tests have been conducted to determine the appropriateness of Sir Howard Stringers structural choice given his desire to make Sony a more innovative and flexible organization. The risks and benefits of the structural choice has also been assessed. The report displays the cultural web of Sony before and after Sir Howards arrival. It was derived that the Reconstruction type of strategic change had been used to bring about the transformation in the organizations culture. Consequently, Sir Howard adopted the Education and Communication and the Collaboration/Participation styles of strategic change implementation. In conclusion, it can be seen that the stock share value has increased during 2005-2007 which means that Howard Stringer was doing a good job at implementing his change. Introduction As a part of this report let us start by introducing Sony Corporation. Firstly, he looked at the core competencies of the company and focused mainly on the electronics, games and entertainment sector. He established a growth strategy saying, Our target is for the Sony Group to achieve consolidated sales of over 8 trillion yen and an operating profit margin of 5% (electronics 4%) by the end of fiscal year 2007. Organizational Structure Corporate Structure of Sony Corporation From the analysis on the organizational structure that Howard Stringer was trying to implement in 2005 we can see that it was clearly a multi-divisional structure. This structure has been further worked on since 2005 and there have been slight changes to the same. Multi-Divisional structure (M-form) The multi-divisional structure is also known as the product structure where the divisional structure groups organizational function into a division. Each division works as an independent section within the company and the divisional structure contains all the necessary resources and functions within it. Each Division will have its own sales, engineering and marketing departments. (Wikipedia, the free encyclopedia (2009). Howard Stringer was attempting to implement the multi-divisional structure. He had assigned Ryoji Chubachi to handle the main Electronics business and Chubachi had implemented the multinational matrix structure. We will not go into details of the matrix structure but will explain it below in brief. In case of the Multinational Structure of the organization we can see that there were a few business units that were put together in order to increase their responsiveness in the market. There were five committees created across all these business units and business groups. This gave a better integration of knowledge, flexibility and the ability to analyze these units across its procurement, technology, product strategy, sales and productive business outcomes. Strategy and Organizational Structure When Howard Stringer took over the Sony Global Corporation in 2005 he gave strategies for each product in the company. The strategies are stated above in the Introduction section of this report. As per the strategies implemented we can see clearly that he had devised different strategies for each core product that Sony was providing and so he also divided the companys organizational structure the same way. Thus, we see that the company is become more flat and each division is reporting to the Headquarters. As in a multidivisional organization such as Sony, the divisions become flexible as in the sense that they are able to merge, add or close divisions. This is apparent in the fact that Sonys Mobile division merged with Ericsson to produce Sony Ericsson range of mobiles. It can also be seen that Sonys Music Entertainment division had a 50-50 joint venture with Bertelsmann Music Group naming Sonys Music division as Sony BMG Music Entertainment and in August 2008 Sony bought Bertelsmanns 50% shares and Sony renamed its Music division as Sony Music Entertainment. Ergo, it is apparent that because of Sonys multidivisional structure each division is able to work as its own company which is flexible enough to have joint-venture projects as in the case of Sony Ericsson and the company is also able to make the decision of buying over another company such as the Bertelsmann Music group. When Howard Stringer took over Sony he also closed down a chain of restaurants and other non-core business companies that Sony owned. With a multidivisional structure in place Sir Howard Stringer was able to control and oversee each division from a distance by monitoring the business performance of each division. If we look at the advantages of a multi-divisional structure we can see that because the structure is divided by product lines it allows each division to grow and specialize on their competences. We can see that each division has actually become its own company like the Sony Electronics Inc., the Sony Pictures Entertainment Inc., and Sony Computer Entertainment Inc. As we will see in the redundancy test later in this report we can see that each of the companies that are based in each country have their own head offices. This means that there are many parent levels in this organization which means that many of the supporting departments such as HR and IT will be redundant but due to the large organization structure of the company Sony needs these headquarters to be set-up. Although the knowledge sharing and cooperation between the business units become very limited but Howard Stringer has tried overcoming this by placing five strategic committees across the business units which are the product, technology, production, procurement and sales. Thus standardizations and centralization has helped to reduce effort and poor coordination. Also, with Howard traveling around Sonys operations at a rate of 30,000 air miles a month (Nakamoto 2006) is building spirits and reflecting in the eyes of the employees all around Sony. Goold and Campbell Tests We will use the Goold and Campbell last 5 tests to determine the appropriateness of Howard Stringers structural choice given his desire to make Sony cool again (Clayton 2005). The Specialist Cultures Test: The Organization Structure: Specialist Culture test In the Specialist Culture test we placed Sony between Good and Very Good as Sony has an Engineer-driven culture (Edwards, Lowry, Ihlwan, Hall 2005). Sony is an engineering culture (Paczkowski 2008) says Howard Stringer and they really take care of their engineers. Engineers have the freedom to think and come up with new designs. When a certain project was untaken engineers from all the different departments met in one place to finish that task. This shows that there is no organizational contamination of the specialist engineer culture test. They host forums to enable interactive discussion about the company news and they engage their employees in company developments and in-the-Know at all times as claimed by them on their website. Shared Tangible Resources Links Though with a multidivisional organization with so many parent companies the amount of duplication of work increases but after Sir Howard Stringer came into Sony he divided all core businesses by products into separate units that would report to the Corporate office and setup a corporate RD unit to reduce the duplications and also brought in standardized engineered products to help the reduction of cost. Pooled Negotiating Power Links Sonys Mobile division merged with Ericsson to produce Sony Ericsson range of mobiles. Ericsson had the latest mobile technology and Sony had the vast experience in consumer electronics and entertainment like music, pictures and games. Bringing them both together in a 50-50 joint venture gave Sony power in the market. This would help both the companies generate economies of scale. It can also be seen that Sonys Music Entertainment division had a 50-50 joint venture with Bertelsmann Music Group naming Sonys Music division as Sony BMG Music Entertainment. New-Business Creation Links Vertical integration is very obvious in the Sony business as they try to enter the digital world they are buying companies and doing joint ventures to meet the specific needs of their customers and that is to bring the mobile, music, gaming and video entertainment together. Sony is in a good position to do a backward or forward integration in case it decides to do so. The structure is flexible enough to accommodate that. The links are best handled through self-managed networking among units n top management should leave this up to the unit rather than impose to-down coordination process. The Benefits   In Electronics group Sony placed centralized decision-making power over key areas under the Electronics CEO. This change assures coordination and focus across newly defined business groups. Exact horizontal coordination in main areas- product planning, technology, procurement, manufacturing, and sales and marketing-will allow fast and streamlined decision making across product lines. As a result of their belief that outside ideas were not as good as inside ones, they missed opportunities in such areas as MP3 players and flat-screen TVs and developed unwanted products-cameras that werent compatible with the most popular forms of memory, for instance. Looking at the above risks and benefits we can see that though there were a lot of risks in the structure Sir Howard needed to make a decision and he made this decision with the help of allies in the company and he also took help from persons who were made in-charge of changing the IBM structure many years back. They were successful in doing so and since Sir Howard was declared President of Sony Global we can say that he is still in there and is still fighting and restructuring to put Sony back on to globe again. Sony is today coming up with new customer focused products rather than products that are innovative but it is not what the customer wants. The Cultural Web Before Howard Stringer Organizational culture sometimes influences the organizations strategy if taken for granted. Culture has played a role in Sonys current financial difficulties. They had power blocks which hindered the flow of communication and corporation between the management, designers, production and marketing. The Cultural Web, developed by Gerry Johnson and Kevan Scholes in 1992, provides one such approach for looking at and changing your organizations culture. Using it, you can expose cultural assumptions and practices, and set to work aligning organizational elements with one another, and with your strategy. The Cultural Web identifies six interrelated elements that help to make up what Johnson and Scholes call the paradigm the pattern or model of the work environment. By analyzing the factors in each, you can begin to see the bigger picture of your culture: what is working, what isnt working, and what needs to be changed. The six elements are: Power Structures: Sony had a culture, were long serving executives have very strong influence on the organization. At their annual general meetings all these executives take up the front seats whiles the lower ranks are relegated to the back. Many of the working seniors did not even discuss their share values and did not have the involvement in the business. Control Systems: Sony emphasized on budget plans and emergency fixes as their main control systems. Quality was not really emphasized, they believed in getting the work done with the least amount of cost. Lower level staffs were not awarded for their achievements or bonuses given at the end of the year. All these were aimed at controlling cost. Organizational Structure: They had the functional/Transnational type of organization where the CEO sits at the top and all functional heads report to him. They believe in top management taking all the decisions without the involvement of the junior level engineers. These caused lack of communication and co-operation between the various units and more of delegation to get the problem solved. Stories: Sony had gone through continuous restructuring for the past 9 years to improve their financial positions. Sony was not customer focused. They did not invest in non-core businesses and lacked new-age products even though they had very good and talented engineers. Although Sony believed in harmony of the people and the company but with all this restructuring the morale of the employees was down and this was evident when there was a comment that there is sparkle in the eyes of the employees after Howard Stringer took over. Rituals Routines: As per the Japanese culture of respect Sony had a ritual that it never fired its high rank executives even after retiring. The senior managers were made Advisor (Gunther, 2006) and each of them had their own secretary, a car and driver and they also had the authority to second-question people who were actually working at Sony. At Sony the ritual was that if an engineer came to know about a fault in the product they would let the seniors know they would just fix the problem and just do it. Sir Howard Stringers Change Management Change management is also known as Change control. It is usually referred to the process by which the change of a system/process/organization is implemented in a controlled manner. If we look at the above Cultural Webs before and after Sir Howard Stringer took over Sony we can see that in order to bring the changes as per the paradigms shown above he had to adopt a Change Management program. Organizational change management processes include techniques for creating a change management strategy which is getting everybody involved in the change process. Engaging senior managers as change leaders, they become the sponsors of the change program. You also need to build awareness of the need for change (communications) getting everybody to understand why the need for change. Developing skills and knowledge to support the change (education and training), helping employees move through the period of change (coaching by managers and supervisors), and methods to sustain the change (measurement systems, rewards and reinforcement). Howard Stringer had instituted all these processes for his change management, but due to the dominance culture that existed before Howard Stringer took over, he had some resistance against his change management programme. Using Kurt Lewins force field analysis tool will help us analyse some of the driving and restraining force in Howard Stringers change management. These were some of the forces for and against his change management.
